1. Acceptance of Terms

By accessing and using TenderFlow, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Subscription Terms

TenderFlow operates on a subscription basis. By subscribing to our service, you agree to:

  • Pay the subscription fee as specified in your chosen plan
  • Maintain accurate billing information
  • Comply with all payment terms and conditions
  • Understand that subscriptions automatically renew unless canceled

2.1 Billing Cycles

Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Billing occurs on the same day of the month as your initial subscription date. If a billing date falls on a day that doesn't exist in a particular month (e.g., January 31st), billing will occur on the last day of that month.

2.2 Plan Changes

You may upgrade or downgrade your subscription plan at any time. When upgrading, the new plan will take effect immediately, and you will be charged a pro-rated amount for the remainder of your current billing cycle. When downgrading, the new plan will take effect at the start of your next billing cycle.

2.3 Additional Users/Seats

If your plan includes a user limit, you may purchase additional user seats. Additional seats are billed immediately on a pro-rated basis for the remainder of your current billing cycle, and will be included in your regular recurring billing thereafter.

2.4 Payment Methods

We accept credit cards, debit cards, and other payment methods as specified on our website. By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription.

2.5 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, we reserve the right to suspend or cancel your subscription. You will be notified of any payment failures via email.

3. Trial Period

New subscriptions may include a trial period (typically 14 days). During the trial period, you have full access to the features included in your plan. No payment is required during the trial period. At the end of the trial period, your subscription will automatically convert to a paid subscription unless canceled before the trial expires.

You may cancel your trial at any time during the trial period without incurring any charges. If you do not cancel before the trial expires, you will be charged according to your selected plan.

4. Cancellation and Refunds

4.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellations take effect at the end of your current billing cycle. You will continue to have access to the service until the end of your paid period.

To cancel your subscription, log into your account, navigate to Subscription Management, and follow the cancellation instructions. Cancellation requests must be submitted at least 24 hours before your next billing date to avoid being charged for the next billing cycle.

4.2 Refund Policy

General Refund Policy: Due to the digital nature of our service, we generally do not offer refunds for subscription fees. However, we may consider refund requests on a case-by-case basis in the following circumstances:

  • Service Failure: If our service is unavailable for more than 48 consecutive hours due to our fault, you may be eligible for a pro-rated refund for the affected period.
  • Duplicate Charges: If you are accidentally charged twice for the same billing period, we will refund the duplicate charge.
  • Unauthorized Charges: If your account is charged without your authorization, we will investigate and provide a full refund if confirmed.
  • Within 7 Days: If you cancel your subscription within 7 days of your initial purchase (excluding trial periods), you may be eligible for a full refund at our discretion.

Refund Process: To request a refund, please contact our support team through our contact page with your account details and reason for the refund request. Refund requests must be submitted within 30 days of the charge. Refunds, if approved, will be processed within 10 business days and credited back to your original payment method.

Non-Refundable Items: The following are not eligible for refunds:

  • Partial billing periods after cancellation
  • Additional user seats purchased
  • Plan upgrades (though downgrades may be eligible for credit)
  • Services used during the billing period

Consumer Rights: Nothing in this refund policy affects your statutory rights as a consumer under South African law, including rights under the Consumer Protection Act.

5. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring compliance with all applicable laws and regulations
  • Using the service in a lawful and ethical manner

6. Service Availability

We strive to maintain high availability of our service but do not guarantee uninterrupted access. We reserve the right to perform maintenance, updates, or modifications that may temporarily affect service availability.

7. Data and Privacy

Your use of TenderFlow is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7.1 Data Retention Policy

Active Accounts: We retain your data for as long as your account is active and for a reasonable period thereafter to allow you to reactivate your account if desired.

Cancelled Accounts: Upon cancellation of your subscription, we will retain your data for a period of 30 days to allow for account reactivation. After 30 days, your data will be deleted or anonymized, except where we are required to retain it for legal, regulatory, or accounting purposes.

Legal Requirements: We may retain certain data beyond the standard retention period if required by law, regulation, or to resolve disputes. This includes:

  • Financial records (invoices, payments) - retained for 7 years as required by tax law
  • Legal documents and contracts - retained as required by applicable law
  • Data subject to ongoing legal proceedings

Data Export: Before your account is deleted, you may export your data. We recommend exporting your data before canceling your subscription. Data export requests can be made through your account settings or by contacting support.

Backup Data: Data stored in backups may be retained for up to 90 days after account deletion. Backup data is securely deleted according to our backup retention schedule.

Anonymized Data: After deletion, we may retain anonymized, aggregated data that cannot be used to identify you for analytical and service improvement purposes.

8. Intellectual Property

All content, features, and functionality of TenderFlow are owned by us and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, TenderFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through our platform. Continued use of the service after changes constitutes acceptance of the new terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.
